Implementation Services Agreement

Separate contracted services

Guided Implementation and Business Buildout are separately contracted business implementation and production services. Every dollar of the service price is allocated to the service deliverables identified below and in the client's accepted order or Statement of Work. California Contractor Launch Program access is optional and included at no additional charge. No portion of the service fee is an educational charge, program completion is not required to complete the service engagement, and declining or not using program access does not change the service price or refund calculation.

À-la-carte implementation services

An active California Contractor Launch Program member may request an individual implementation service without purchasing Guided Implementation or Business Buildout. The published catalog is an invitation to request scope, not an automatically accepted order. Work begins only after the Institute confirms capacity and the client accepts a written order identifying the exact deliverable, price, schedule, dependencies, acceptance criteria, milestone allocation, cancellation treatment, ownership, exclusions, and separate payment authorization. À-la-carte service fees are not educational charges and do not alter the program completion standard or refund period.

Guided Implementation · $5,000 total

The service fee covers a five-page Starter Site with intake-led copy, responsive development, contact form, one member-owned domain connection, basic on-page search structure, analytics setup, and two consolidated revision rounds; milestone and document-readiness reviews; guided setup of one priority, low-risk AI administrative workflow using a client-owned approved account; provider shortlist and meeting preparation; two private 60-minute owner-advisory sessions; live implementation workshops; and a 180-day accountability plan. The AI workflow includes process mapping, an approved prompt or instruction set, normal and exception-case testing, a human-approval rule, and a handoff record. It excludes custom software, advanced integrations, autonomous customer commitments, and regulated decisions.

For service accounting and completion, the $5,000 total is allocated as follows: $2,500 Starter Site production; $1,000 coordination, milestone reviews, and the guided AI-workflow setup; $500 provider-meeting preparation and document organization; and $1,000 advisory, workshops, and accountability. Payment is due before kickoff. The 180-day service term starts when the Institute confirms complete intake and kickoff in writing. Included advisory sessions must be scheduled within that term, subject to the rescheduling rules in the accepted order. The service is complete when the stated site, review, preparation, workflow-handoff, advisory, and final-status-report milestones are delivered.

Business Buildout · $10,000 total

The service includes a required strategy call and customized Statement of Work; a custom Signature Site of up to ten standard pages with conversion architecture, copy, service-area and portfolio content, lead capture, analytics, local-search foundation, and three consolidated revision rounds; operating-system implementation and document production; a tailored AI front-office and operations system of up to three controlled workflows using client-owned approved accounts; provider selection and setup coordination; bookkeeping, job-costing, and tax-reserve workflow installation for professional approval; four private 60-minute owner-advisory sessions; priority reviews; project management; and a personalized operating roadmap. Each AI workflow includes documented inputs, outputs, ownership, human approval, exception handling, testing, and handoff. Exact tools, connections, and exclusions are identified in the customized Statement of Work.

The $10,000 total is allocated as follows: $750 discovery, strategy, and Statement of Work; $4,250 Signature Site production; $2,000 operating-system, AI-workflow implementation, and document production; $1,500 project management, provider coordination, and priority review; and $1,500 advisory sessions and operating roadmap. The customized Statement of Work identifies the specific deliverables and payment allocation for that client.

Business Buildout payment schedule

The $5,000 initial service payment is credited toward the $10,000 total and is not an automatically nonrefundable deposit. It is fully refundable before the strategy call. After the completed strategy call and delivery of the proposed Statement of Work, $750 is earned and $4,250 remains refundable until Statement-of-Work acceptance.

The remaining $5,000 becomes due only after the strategy call is complete, the client receives the customized Statement of Work, both parties electronically sign that identified version, and the client separately authorizes the second payment. The Institute will issue a separate invoice or checkout link and will not automatically charge the payment method used for the initial payment. If the client declines the Statement of Work, production does not begin and the pre-acceptance cancellation rule applies.

Customized Statement of Work and changes

Before Business Buildout production, the parties sign a client-specific Statement of Work identifying the contracting parties, business address and notices, project and version number, exact pages and features, operating-system, AI-workflow, and document deliverables, approved client-owned tools and data boundaries, exclusions, assumptions, target dates, client dependencies, milestone acceptance criteria, revision procedure, service-fee allocation, hosting and handoff terms, and electronic signatures. A written change order accepted by both parties is required for added scope. If documents conflict, an accepted change order controls, then the client's accepted Statement of Work, then this agreement, then the general Terms of Use. A later website edit does not modify an already accepted order.

Website schedule and revisions

The Guided Starter Site target is 30 business days after a complete intake. The Business Buildout Signature Site target is 45 business days after strategy, scope confirmation, and complete intake. A revision round is one consolidated list from the designated decision maker. New business direction, new architecture, additional pages, delayed assets, conflicting feedback, or changed services require a schedule change or written add-on.

Client responsibilities

The client supplies accurate business, service, license, insurance, testimonial, pricing, warranty, and contact facts; lawful rights to images and other assets; domain and provider access; and feedback within five business days. The implementation team will not activate pages soliciting construction work until the client's public CSLB record and required advertising disclosures support activation.

Hosting, domain, handoff, and ownership

The client's domain must be registered in the client's name, and the client remains responsible for domain renewal. Managed hosting begins at public website launch and is included for 12 months; email hosting, paid third-party subscriptions, and services outside the accepted scope are excluded. At least 30 days before included hosting ends, the Institute will offer written renewal terms or provide the then-available website export, media, client-owned credentials, and reasonable migration handoff identified in the Statement of Work. Hosting does not renew or create a charge without separate authorization. Failure to renew hosting never transfers the domain to the Institute.

Client-supplied content and assets remain the client's property. After full payment, the Institute assigns to the client all transferable right, title, and interest, including copyright, in final approved client-specific copy, graphics, and custom code expressly identified as Assigned Deliverables in the accepted Statement of Work. The Institute retains curriculum, drafts, rejected concepts, templates, reusable components, code libraries, methods, systems, workflows, and tools, while granting the client a perpetual, worldwide, royalty-free license to any retained Institute component embedded in an Assigned Deliverable as needed to operate, modify, host, and migrate the website. Third-party components remain governed by their licenses.

Milestones, cancellation, and refunds

Guided Implementation may be cancelled for a full refund before kickoff. Kickoff occurs only when the Institute confirms in writing that required intake is complete and identifies the first service production task. After kickoff, the accepted order schedule controls when each stated allocation becomes earned through a documented deliverable. A cancellation does not make an undelivered milestone earned.

For Business Buildout, cancellation before the strategy call receives a full refund of the initial payment. After the strategy call and delivery of the proposed Statement of Work, but before acceptance, $750 is earned and $4,250 is refundable. After acceptance, only documented, delivered milestone allocations become earned. The Institute will provide an itemized closeout statement and return the unearned balance to the original payment method no later than 30 days after receiving the information needed to identify and process the cancellation. Complimentary program access, lesson activity, and downloads never reduce a service refund. Nonwaivable rights remain in effect.

Suspension, client delay, and unfinished work

The Institute may immediately pause affected work for a credible security threat, unlawful requested content, infringement, payment reversal, or a legal requirement. For nonpayment or another remediable material breach, the Institute will provide written notice and at least five business days to cure. Suspension pauses affected delivery dates but does not make unperformed allocations earned.

If required assets, access, decisions, or feedback remain missing, the schedule extends for the resulting delay. After 30 days of inactivity, the Institute may place the project on hold by written notice. After 60 days, it may close the engagement after a final ten-day notice, retain only amounts earned through completed milestones, refund unearned prepaid amounts, and hand off paid client-owned deliverables in their then-current form. If the Institute terminates without client breach, it will refund all unearned prepaid service fees.

Disputes and notices

Before filing a claim, either party may send written notice describing the issue and requested resolution. The parties will attempt good-faith resolution for 30 days, but this does not prevent urgent injunctive relief, an eligible small-claims filing, compliance with a filing deadline, or exercise of a nonwaivable right. California law governs, and venue is stated in the accepted Statement of Work unless applicable law requires another forum. Cancellation and dispute notices sent to the address or admissions email identified in the accepted order are effective when received and acknowledged.

Exclusions and professional boundaries

Unless added in writing, services exclude custom software, ecommerce, advanced integrations, original photography or video, paid media, ongoing SEO, premium third-party and AI subscriptions, autonomous customer commitments, autonomous pricing, contract, employment, financial, legal, tax, insurance, licensing, or safety decisions, legal drafting, tax-return preparation, insurance placement, engineering, architecture, safety certification, and government filing fees. Client-owned AI accounts remain subject to the vendor's terms, availability, data practices, and charges. Independent licensed professionals approve regulated decisions. No service guarantees rankings, leads, license issuance, revenue, profitability, or error-free AI output.
